1. Acceptance of Terms

By creating an account, accessing, or using FeroPoint ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must discontinue use immediately.

FeroPoint is owned and operated by Petal Waves LLC.

2. Definitions

  • "User" — the business or individual using FeroPoint.
  • "Technician" — field personnel using the Field Ops app.
  • "Customer" — the User's client or end‑customer.
  • "Subscription" — paid access to FeroPoint.
  • "Stripe" — third‑party payment processor used for all billing.

3. Account Requirements

Users must:

  • Be at least 18 years old
  • Provide accurate business information
  • Maintain account security
  • Use the Service in compliance with all applicable laws

Petal Waves LLC may suspend or terminate accounts for violations of these Terms.

4. Subscription & Billing

4.1 Plans

FeroPoint offers monthly and annual subscriptions.

4.2 Free Trial

A 30‑day free trial is available for new users.

4.3 Payment Processor

All subscription payments are processed exclusively through Stripe.

4.4 Fees

  • Users are responsible for all Stripe processing fees.
  • Fees are non‑refundable except as described in Section 6.

4.5 Upgrades

When upgrading from monthly → annual, prorated adjustments may apply.

4.6 No Prorated Refunds

No prorated refunds are offered for mid‑cycle cancellations, downgrades, or partial usage.

5. Cancellation of Services

5.1 How Users May Cancel

Users may cancel their FeroPoint subscription at any time by navigating to:

Settings → Subscription → Manage Billing

This opens the Stripe Customer Billing Portal, where Users may cancel their subscription, update payment methods, view billing history, and manage plan changes.

Cancellations must be completed through the Billing Portal. Email requests, support messages, or verbal requests do not constitute cancellation.

5.2 Effective Date of Cancellation

  • The subscription remains active until the end of the current billing period.
  • No prorated refunds are issued for unused time.
  • Access to the Service will automatically terminate at the end of the billing cycle.

5.3 Data Handling After Cancellation

  • The User's account remains accessible until the billing period ends.
  • After termination, the User may request full account deletion, which permanently removes all data stored on FeroPoint.
  • Payment‑related data cannot be deleted, as it is owned and controlled by Stripe.

5.4 Reactivation

Users may reactivate their subscription at any time by logging into their account and selecting a new plan. Reactivation does not restore previously deleted data.

5.5 FeroPoint's Right to Cancel

Petal Waves LLC may cancel or suspend a User's subscription for non‑payment, fraud or abuse, violation of these Terms, or legal or regulatory requirements. No refunds are provided unless required by law.

6. Refund Policy

Refunds are only issued when FeroPoint is demonstrably at fault, such as a system malfunction preventing access or billing errors caused by FeroPoint.

Refunds are not issued for user error, business changes, lack of usage, or dissatisfaction unrelated to system malfunction.

7. Chargebacks & Disputes

7.1 Contact Requirement

Users must contact FeroPoint first via the official Contact Form before initiating a chargeback.

7.2 Account Suspension

Petal Waves LLC may suspend or restrict account access during unresolved disputes or chargebacks.

7.3 Invalid Chargebacks

If a chargeback is reversed or deemed invalid, Petal Waves LLC may charge a $30 administrative fee.

8. FeroPoint Not a Party to User–Customer Transactions

FeroPoint provides software only. Petal Waves LLC is not responsible for disputes between Users and their Customers, incorrect invoices, incorrect tax calculations, payment disputes, refunds issued through Stripe, or service quality, workmanship, or job performance.

Users are solely responsible for their business operations.

9. Data & Privacy

9.1 Account Deletion

Users may request full account deletion. Upon deletion, all FeroPoint‑stored data is permanently removed. Payment‑related data cannot be deleted, as it is owned and controlled by Stripe.

9.2 Data Export

Users cannot export their data from FeroPoint.

9.3 Prohibited Data

Users may not store sensitive or regulated data, including:

  • Social Security Numbers
  • Credit card numbers
  • Bank account numbers
  • Protected health information
  • Government‑issued identification numbers

10. Field Ops App Terms

10.1 GPS Tracking

The Field Ops app may use GPS tracking for route optimization, job timestamps, and technician location accuracy.

10.2 Employer Policies

Technicians must comply with their employer's internal policies, not FeroPoint's.

10.3 Liability Disclaimer

FeroPoint is not liable for accidents or injuries, misuse of the app, incorrect or incomplete job information, device malfunctions, or connectivity issues.

11. Acceptable Use Policy

Users may not:

  • Use FeroPoint for illegal activities
  • Attempt to hack, reverse engineer, or disrupt the Service
  • Upload malware or harmful content
  • Abuse the platform for spam or fraudulent activity
  • Interfere with other Users' access

Petal Waves LLC may suspend accounts for violations.

12. Prohibited Businesses

FeroPoint may not be used by businesses engaged in illegal services, adult services, weapons trafficking, financial scams, or high‑risk or fraudulent industries.

Petal Waves LLC reserves the right to deny service at its discretion.

13. Beta Features Disclaimer

FeroPoint may offer beta features. These features are provided "as‑is", may contain bugs, may be modified or removed at any time, and are not covered by support or uptime guarantees. Users assume all risks when using beta features.

14. AI‑Generated Content Disclaimer

If FeroPoint provides AI‑generated content, content may be inaccurate or incomplete, Users must verify all information, and FeroPoint is not liable for decisions made based on AI output.

15. Service Availability

FeroPoint aims for high uptime but does not guarantee uninterrupted service, error‑free operation, or data preservation. Scheduled maintenance may occur.

16. Limitation of Liability

To the fullest extent permitted by law, FeroPoint's total liability is limited to the amount paid by the User in the last 12 months.

FeroPoint is not liable for lost revenue, lost jobs or opportunities, scheduling errors, tax miscalculations, payment failures, third‑party integrations (Stripe, Google Maps, etc.), data loss, or service interruptions.

17. Termination

Petal Waves LLC may terminate or suspend accounts for violations of these Terms, fraud, abuse, non‑payment, or legal requirements. Users may terminate their account at any time.

18. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict‑of‑law principles.

19. Changes to Terms

Petal Waves LLC may update these Terms at any time. Continued use of FeroPoint constitutes acceptance of updated Terms.
